Independent Media notes SCA ruling, says no impact on operating business

Independent Media notes the judgment delivered by the Supreme Court of Appeal (SCA) in relation to the dispute involving the Independent Media Consortium and the Southern African Clothing and Textile Workers’ Union (Sactwu)

It is important to clarify that this matter does not involve Independent Media as an operating business, nor Sekunjalo Investment Holdings.

The case relates specifically to the Independent Media Consortium (IMC), a special purpose vehicle (SPV) established to invest in Independent Media.

The consortium is made up of shareholders including the Southern African Clothing and Textile Workers’ Union (Sactwu), Sekunjalo and other parties.

The dispute centres on a subordination agreement and, more specifically, on the technical question of whether the agreement was validly authorised — including whether the relevant executive had the authority to sign and whether the underlying resolution was correctly constituted.

Independent Media and the relevant parties will study the full judgment and its implications in detail with their legal advisors before considering any appropriate next steps.
